feedwatch Licence Agreement

This agreement is between you (the person or organisation installing the software) and Innovate Live LTD ("Innovate Live", "we"), a company registered in England and Wales. It covers feedwatch, feedwatch multi and feedwatch editorial, their updates, and their documentation (together, "the Software"). By installing or using the Software you accept this agreement. If you do not accept it, do not install or use the Software.

1. Licence

The Software is licensed, not sold. Innovate Live, and its author Kai Brittain, keep all rights, title and intellectual property in it.

If you hold a valid licence, we grant you a non-exclusive, non-transferable licence to install and use the Software for your own business or production purposes, on no more Macs at a time than the number of seats on your licence, for the term shown on it (perpetual unless an expiry date is shown).

Before you hold a licence you may use the Software to evaluate it. The Software shows that it is unlicensed but does not stop working.

2. Restrictions

You must not:

copy the Software, except to install it as allowed above and to keep backups;
sell, rent, lend, sublicense or otherwise transfer the Software or your licence without our written consent;
share your licence with anyone outside your organisation, or use it on more Macs than you have seats;
reverse engineer, decompile or disassemble the Software, except as far as the law expressly allows despite this restriction;
remove or change any copyright, trademark or licence notice;
tamper with or get around the licence check, or create or distribute licence tokens.

3. Updates

Your licence includes updates released up to the "updates until" date shown on it, or all updates if none is shown. The Software checks our update server for new versions and asks before installing. It never installs while it is recording unless you choose to.

4. Data and privacy

Update checks contact updates.innovate.live and send the app's name and version. Our hosting provider records the IP address of each request.
Feedback, problem and crash reports are sent only when you press Send. A report contains your message, the app and macOS versions, the Mac model, a random installation id, and your licence id if you have one. It contains your email address only if you enter it, and the crash log and diagnostics only if you tick them. Diagnostics have stream passwords and keys removed before they are sent.
Pictures, sound and recordings stay on your Mac. The Software never sends them to us.
We use reports only to support you and improve the Software, and keep them no longer than needed for that. We do not sell them. We handle personal data under UK data protection law. Contact us to see or delete what we hold about you.

5. Third-party components

The Software includes open-source components under their own licences, listed in About → Third-Party Notices and at updates.innovate.live/legal/notices. Nothing in this agreement limits your rights under those licences. The Software works with hardware and runtimes from other companies (for example Blackmagic Design and NDI) that you obtain and license separately.

6. Your responsibility in a live environment

The Software is a monitoring and recording aid. It is not a substitute for a broadcast's primary recording, compliance logging or monitoring chain. Detection of faults such as black, freeze, silence or loss of signal depends on thresholds and conditions it cannot guarantee. Alerts depend on networks and services we do not control. You are responsible for deciding whether it is suitable for your use and for keeping independent backups.

7. Warranty

We will use reasonable care and skill in providing the Software. Apart from that, and to the extent the law allows, the Software is provided "as is", without other warranties, including fitness for a particular purpose or uninterrupted, error-free operation.

8. Liability

Nothing in this agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

Subject to that, Innovate Live is not liable for any loss of profit, revenue, business, contracts, goodwill or data, for missed or failed recordings or broadcasts, or for any indirect or consequential loss. Our total liability under or in connection with this agreement is limited to the amount you paid for your licence in the 12 months before the claim arose.

If you are a consumer, you also have legal rights that this agreement does not affect.

9. Termination

This licence ends automatically if you materially break this agreement and do not put it right within 14 days of our notice. A term licence also ends on its expiry date. When the licence ends you must stop using the Software and delete it. Sections 2, 4, 6, 7, 8 and 10 continue after it ends.

10. General

This agreement is the whole agreement between us about the Software. If a court finds any part unenforceable, the rest stays in force. We may update this agreement for later versions of the Software; the version that came with your copy applies to it. This agreement is governed by the law of England and Wales, and its courts have exclusive jurisdiction.
